Terms of Service

By accessing or using the Ringzy service at ringzy.ai ("Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and ValidPixel LLC ("Ringzy," "we," "our," or "us").

If you are using Ringzy on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Ringzy provides an AI-powered phone answering service for businesses. The Service includes a dedicated phone number, AI-driven call handling, appointment booking, call transcription, call summaries, and related dashboard features. Features vary by subscription plan.

You are responsible for:

• Maintaining the confidentiality of your account credentials and all activities under your account
• Ensuring that your use of the Service complies with all applicable laws and regulations, including those governing call recording and notification in your jurisdiction
• Providing accurate and current account information and promptly updating it if it changes
• Informing callers that their calls may be recorded, as required by applicable law

Plans: Ringzy offers subscription plans (Basic, Pro, Enterprise) billed monthly. Each plan includes a specified number of call minutes per month.

Overage: If you exceed your plan's monthly minutes, overage charges apply at the per-minute rate for your plan (Basic: $0.25/min, Pro: $0.20/min, Enterprise: $0.15/min). Unused minutes do not roll over.

Cancellation: You may cancel your subscription at any time from your account dashboard. Access to the Service continues until the end of the current billing period. No partial refunds are issued for unused time.

Refunds: Except as required by law, all subscription fees are non-refundable. If you believe a billing error has occurred, contact us at legal@ringzy.ai within 30 days of the charge.

Price Changes: We reserve the right to adjust pricing with 30 days' advance notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

You agree not to use the Service to:

• Engage in fraudulent, illegal, or abusive activities
• Harass, threaten, or harm any person or entity
• Violate any applicable telecommunications laws or regulations
• Make automated calls to numbers on Do Not Call registries without proper consent
• Resell or sublicense access to the Service without our prior written consent
• Interfere with the operation or security of the Service or its infrastructure
• Attempt to reverse-engineer, decompile, or extract our AI models

Ringzy reserves the right to suspend or terminate accounts that violate this policy without prior notice.

Ringzy and its licensors own all intellectual property rights in the Service, including the AI models, software, brand assets, and documentation. These Terms do not grant you any ownership rights in the Service.

You retain ownership of content you provide (such as business information and caller data). By using the Service, you grant Ringzy a limited license to use that content solely to operate and improve the Service for your account.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RINGZY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOSS OF DATA, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

RINGZY'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO RINGZY IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Ringzy does not warrant that the Service will be uninterrupted, error-free, or that AI responses will be accurate in all circumstances. AI-generated content should be reviewed by you before acting on it.

Either party may terminate this agreement at any time. We may suspend or terminate your account immediately for material breach of these Terms, fraudulent activity, or non-payment.

Upon termination, your right to use the Service ceases immediately. Sections related to limitation of liability, disclaimers, and governing law survive termination.

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.

We may update these Terms from time to time. We will notify you of material changes by email or a prominent notice on the Service at least 14 days before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
